Company Registration in Sweden

Registering a company in Sweden is straightforward on paper and complicated in practice for anyone who is not already resident here. The registration itself is handled by Bolagsverket, the Swedish Companies Registration Office, but the surrounding requirements, identity, banking, tax and, for non-EU founders, your own right to be in the country, are where things stall.

Choosing the right structure

  • Aktiebolag (AB), the limited company. The usual choice for a business with employees, external investment or meaningful liability. Requires share capital and a formal board.
  • Enskild firma, the sole trader. Simple and cheap to set up, but you are personally liable for the business’s debts.
  • Handelsbolag, the trading partnership, for two or more partners.
  • Filial, a branch of an existing foreign company, which keeps the parent company as the legal entity.

For a foreign founder the choice interacts with immigration. If your right to live in Sweden depends on running the business, the structure and how the company is set up affect that assessment directly.

The sequence that trips people up

Most delays come from doing things in the wrong order:

  1. Personnummer or coordination number. Without a Swedish identity number, opening a bank account and dealing with authorities is difficult and sometimes impossible.
  2. Registration with Bolagsverket, including company name approval, articles of association and the board.
  3. Tax registration with Skatteverket: F-tax (F-skatt) for the business, VAT registration where applicable, and employer registration if you will hire.
  4. Business banking. Frequently the hardest step for founders without an established Swedish presence, and the one that should be started earliest rather than last.

If you are not an EU citizen

Running a business in Sweden as a non-EU national generally requires a residence permit for self-employed people. Migrationsverket assesses whether the business is genuine and viable: your experience in the field, your Swedish or English language ability, documented funds to support yourself and the business, and a credible plan showing the business can support you.

The most common reason these are refused is not a bad business idea. It is a plan that reads as aspirational rather than evidenced. Contracts, customer commitments and realistic financial projections carry far more weight than description.

If you are an EU citizen

Establishing a business in Sweden is part of your freedom of establishment, so the immigration question largely falls away. What remains is the practical sequence above, and registering your right of residence.

Frequently asked questions

Can a foreigner start a company in Sweden?

Yes. EU citizens may establish a business under freedom of establishment. Non-EU nationals generally need a residence permit for self-employed people, unless they already hold a permit allowing it.

Do I need a personnummer to register a company?

Not strictly for the registration itself, but operating without a Swedish identity number is difficult in practice, particularly for banking. A coordination number (samordningsnummer) is often the interim step.

How long does company registration take?

Bolagsverket processing varies with the company type and how complete the filing is. The longer waits are usually elsewhere in the sequence, especially banking.

What is F-skatt?

F-tax approval from Skatteverket, showing your business is responsible for paying its own taxes and social contributions. Most Swedish clients will expect you to have it before they engage you.

Can I get a residence permit by starting a company?

A self-employment permit exists, but it is assessed on the genuineness and viability of the business. It is not a route to residence for a company that exists only on paper.
